A registered agent is a person or entity that serves as the representative of the corporation designated to receive “Service of Process”. A Service of Process is broadly any notices, summons or official communication served upon a corporation by the state in whose jurisdiction the corporation conducts business.
Any member of the corporation such as the owner, the corporate secretary, a director can be the registered agent. Alternatively, the company can designate an outside third party such as its CPA or attorney to be its registered agent.
When incorporating a company, each state requires the owners to designate a registered agent and a registered office to which the state can address official communication, renewal notices, annual filing requirements etc. The registered office is a physical address (not post boxes) where such services of process can be delivered. The registered agent and address can be the owner of the business and the offices of the business. However, for convenience – especially if the owners of the business are located out of state or in a foreign country, many businesses designate a third party registered agent, who will receive and forward all communication; and ensure that all licenses are current and the corporation is in good standing.
